By accessing or using the Dociora platform — including the website at www.whereismydoctor.com, mobile applications, and all related services (collectively, the "Platform") — you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Platform.
These Terms constitute a legally binding agreement between you and Dociora. We reserve the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
To use the Platform, you must:

Dociora performs credential checks as part of the onboarding process for Professionals. However, you acknowledge that:
Dociora may charge service fees to Facilities and/or Professionals in connection with shift placements. Specific fee structures will be disclosed within the Platform and/or in a separate agreement.

All content, trademarks, logos, software, and materials on the Platform are the exclusive property of Dociora or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose only. You must not reproduce, modify, distribute, or create derivative works from any Platform content without prior written permission from Dociora.
The Platform may contain links to third-party websites or integrate third-party services. Dociora is not responsible for the content, privacy practices, or availability of any third-party service. Your use of any third-party service is at your own risk and subject to that third party's terms and conditions.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind. Dociora does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by applicable law, Dociora disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Dociora and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including loss of profits, data, or goodwill. Dociora's total cumulative liability to you shall not exceed the amount paid by you to Dociora in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Dociora and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any Content you submit to the Platform.
Dociora may suspend or terminate your access to the Platform at any time, with or without notice, for any reason including breach of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — shall survive.
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Dociora is registered, without regard to conflict of laws provisions. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of Dociora's registered jurisdiction.
