1. Acceptance of Terms

By accessing or using the Dociora platform — including the website at www.whereismydoctor.com, mobile applications, and all related services (collectively, the "Platform") — you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you and Dociora. We reserve the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.


2. Definitions

  • "Platform" means the Dociora website, mobile application, and all related services.
  • "Facility" means any clinic, hospital, healthcare center, or medical institution using the Platform to post shifts or hire professionals.
  • "Professional" means any licensed doctor, nurse, paramedic, or other credentialed healthcare worker who registers to find and accept shifts.
  • "User" refers collectively to Facilities, Professionals, and any other individuals accessing the Platform.
  • "Shift" means a temporary work engagement posted by a Facility and fulfilled by a Professional through the Platform.
  • "Content" means all information, data, text, or materials submitted or made available through the Platform.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Be legally authorized to work in the jurisdiction where you seek or post shifts.
  • Possess valid, current, and unencumbered professional licenses and certifications as required by applicable law (for Professionals).
  • Be a legally registered and operating healthcare facility (for Facilities).
  • Provide accurate, truthful, and complete registration information.

Dociora reserves the right to verify your eligibility at any time and to suspend or terminate your account if eligibility requirements are not met.


4. Account Registration & Security

You must create an account to access the Platform's core features. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your login credentials confidential and not share them with third parties.
  • Notify Dociora immediately of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.

Dociora is not liable for any loss resulting from unauthorized access to your account due to your failure to safeguard your credentials.


5. Platform Use — Facilities

Facilities using the Platform agree to:

  • Post shifts only for legitimate, lawful healthcare positions within their registered facility.
  • Provide accurate shift details including role requirements, working hours, duties, and pay rates.
  • Verify that assigned Professionals are authorized to perform the scope of work required.
  • Comply with all applicable employment laws, occupational health and safety regulations, and healthcare standards.
  • Not engage Professionals found through the Platform outside the Platform in a manner that circumvents Dociora's service fees.
  • Treat all Professionals with respect and maintain a safe, non-discriminatory workplace environment.

6. Platform Use — Professionals

Professionals using the Platform agree to:

  • Maintain valid, current licenses, certifications, and credentials throughout their use of the Platform.
  • Only accept shifts for which they are fully qualified and legally authorized to perform.
  • Immediately notify Dociora of any changes to their licensing status, disciplinary actions, or criminal convictions.
  • Conduct themselves in a professional and ethical manner consistent with applicable healthcare standards.
  • Arrive for accepted shifts punctually and fulfill commitments reliably.
  • Not misrepresent qualifications, experience, or credentials.

7. Credential Verification

Dociora performs credential checks as part of the onboarding process for Professionals. However, you acknowledge that:

  • Dociora does not guarantee the accuracy or completeness of credential verification.
  • Facilities retain ultimate responsibility for verifying that any Professional assigned meets all applicable regulatory and licensing requirements.
  • Dociora's verification process is an administrative tool, not a guarantee of clinical competency or fitness for any particular role.

8. Payments & Fees

Dociora may charge service fees to Facilities and/or Professionals in connection with shift placements. Specific fee structures will be disclosed within the Platform and/or in a separate agreement.

  • All fees are due and payable as specified within the Platform.
  • Dociora uses third-party payment processors; by using the Platform, you agree to their applicable terms.
  • Dociora is not responsible for disputes between Facilities and Professionals regarding pay, hours worked, or shift conditions, though it may provide dispute resolution assistance at its discretion.
  • Fees paid are non-refundable except as expressly stated by Dociora in writing.

9. Prohibited Conduct

Users must not:

  • Post false, misleading, or fraudulent information on the Platform.
  • Use the Platform for any unlawful purpose.
  • Harass, abuse, defame, or discriminate against other Users.
  • Attempt to circumvent, disable, or interfere with the Platform's security features.
  • Scrape, copy, or reproduce Platform data without prior written consent from Dociora.
  • Use automated bots, scripts, or tools to access or interact with the Platform without authorization.
  • Engage in any activity that infringes the intellectual property rights of Dociora or third parties.

10. Intellectual Property

All content, trademarks, logos, software, and materials on the Platform are the exclusive property of Dociora or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose only. You must not reproduce, modify, distribute, or create derivative works from any Platform content without prior written permission from Dociora.


11. Third-Party Links & Services

The Platform may contain links to third-party websites or integrate third-party services. Dociora is not responsible for the content, privacy practices, or availability of any third-party service. Your use of any third-party service is at your own risk and subject to that third party's terms and conditions.


12. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind. Dociora does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by applicable law, Dociora disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.


13. Limitation of Liability

To the maximum extent permitted by law, Dociora and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including loss of profits, data, or goodwill. Dociora's total cumulative liability to you shall not exceed the amount paid by you to Dociora in the twelve (12) months preceding the claim.


14. Indemnification

You agree to indemnify, defend, and hold harmless Dociora and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any Content you submit to the Platform.


15. Termination

Dociora may suspend or terminate your access to the Platform at any time, with or without notice, for any reason including breach of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — shall survive.


16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Dociora is registered, without regard to conflict of laws provisions. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of Dociora's registered jurisdiction.
